These terms govern the use, access and registration on the BLACKBAU website, owned by BLACKBAU, S.L.U., as well as the conditions for contracting the services offered on it. By accepting them, the user expressly agrees to be bound in full.

02Purpose
These Conditions comprise the legal notice, the website terms of use and the remaining terms set out in the privacy policy and the cookie policy. By using the website you acknowledge having read, understood and accepted them, and declare that you have capacity to accept them. Users under 18 but at least 13 may only use the services through an account owned by a parent or legal guardian, with their authorisation. BLACKBAU is released from liability where the user has entered false or erroneous data.
03Access and Conditions of Use
Access to the website and viewing of the projects available on the marketplace is free for any registered user. However, to execute any operation it is essential to have completed the identity verification (KYC) process. BLACKBAU reserves the right to modify, suspend, cancel or restrict the content or services of the website, its links and the information obtained through it, without prior notice. BLACKBAU acts solely as an information society service provider under Law 34/2002.
04Rules of Use
It is prohibited to use the website for unlawful or unauthorised purposes; in ways contrary to law, morality or public order; in a manner that may cause damage, interruptions or defects to its operation or to third-party equipment; to transmit viruses or malicious code; to collect other users' personal data; to register with a false identity or impersonate third parties; to gain unauthorised access to any section, system, network or server; to break or attempt to break security or authentication measures; to cause disproportionate saturation of the infrastructure; or to hinder the normal operation of any service or promotion available through the website.
05Registration
To access the website and use the services, the user must register. Authentication is available through a Google account — which generates a digital wallet held in custody by Non-Fungible Labs, Inc. (“Thirdweb”) — among the other enabled methods. Once identity has been verified and the required information provided, the user is officially registered. BLACKBAU only accesses the data provided by the user through the registration forms; all fields marked mandatory must be completed.
06Private Area
Once registered, the user may access a private area through the icon at the top of the website, where they may consult their personal data and verification status, their investments, their projects and the history of their transactions.
07Marketplace and Wallet
Each project published on the marketplace includes a summary (image gallery, name and creator, full description, highlights, token rights and an FAQ section on tokenization and digital assets), financials (asset value, expected annual yield, price per token, token name and available amount, and the pre-sale and public sale calendar), documents and trading. The wallet made available to the user is not provided by BLACKBAU but by third-party providers depending on the authentication method used.
08Types of User
In addition to the standard user, the site administrator may assign the promoter role at the request of the interested party. The promoter may create and publish tokenization projects and is responsible for the truthfulness, accuracy and lawfulness of all information, documentation and images included in them; BLACKBAU assumes no liability for that content. When creating a project the promoter may set its privacy (private or public) and invite specific users via a shareable link; a private setting does not exempt the promoter from complying with applicable regulations.
09Email Security
Users are strongly advised to take appropriate security measures to protect their email accounts, including strong passwords, two-factor authentication and safeguarding the devices used to access them. The user accepts that any interaction requiring the use of their email is carried out at their own risk and releases BLACKBAU from liability for losses arising from the use or mismanagement of their email.
10Termination
The user may cancel the contracted service at any time from the private area, by selecting the option to cancel the subscription or delete the account.
11Intellectual Property and Licence
You may not sell, license or assign the website or any reproduction or modification of it; develop, distribute or host any server or software designed to interact with the website or to emulate the communication protocols used by BLACKBAU; modify the website or any of its parts or contents; copy, translate, reverse engineer, obtain the source code, disassemble, decompile or create derivative works from it; or develop, distribute or use third-party programmes that affect the user experience of the website.
12Liability and Changes
The website is provided “as is”, without warranty of any kind, express or implied. To the extent permitted by applicable law, BLACKBAU assumes no liability for its use. BLACKBAU may also impose limits on certain features or restrict access to parts or all of the website without prior notice, and may apply updates and modifications at any time; the user must apply the necessary updates to continue using the website.
13General Conditions
The Conditions remain in force until the end of the relationship between the website and the user. Provisions that by their nature must survive will remain in force after termination. BLACKBAU reserves the unilateral right to amend these Conditions, notifying the user or asking them to accept the amended version.
14Contact
BLACKBAU makes the following email address available to users for support and to receive any comment or concern, both during the contracting process and afterwards: Hola@blackbau.com. Unless otherwise provided, notices between the user and BLACKBAU must be made in writing by email to the corresponding addresses.
15Governing Law and Jurisdiction
Applicable law and jurisdiction are determined by the regulations in force. Where those regulations allow the parties to submit to a specific forum, Spanish law applicable at the time of the facts shall govern any dispute arising from or related to the website.
